Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the website at virrolife.com, our online store, and our related communications and services (collectively, the "Site"), operated by Eloo LLC, doing business as Virro ("Virro," "we," "us," or "our"). By using the Site, placing an order, or opting in to our messaging, you agree to these Terms. If you do not agree, do not use the Site.
Certain Virro-branded products have their own separate terms (for example, the Virro Waypoint app and the Virro Atlas software); those terms govern those products. If you have questions, email **Support@virrolife.com**.
## 1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Site or place an order. By using the Site you represent that you meet these requirements and that the information you provide is accurate.
## 2. Accounts
If you create an account, you are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly at Support@virrolife.com if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms.
## 3. Products, pricing, and orders
We try to describe and price products accurately, but we do not warrant that product descriptions, images, pricing, or other content are error-free. Colors and finishes may vary from what appears on your screen.
All prices are in U.S. dollars unless stated otherwise and are subject to change. We may correct errors, inaccuracies, or omissions and may change or update information at any time without prior notice. Your submission of an order is an offer to buy; we may accept or decline it, and we may limit or cancel quantities purchased per person or per order. If we cancel an order after you have been charged, we will issue a refund to your original payment method.
## 4. Presale and preorders
Some products are offered on a presale or preorder basis before they are manufactured and available to ship.
- **Deposits and payment.** A presale or preorder requires payment of the stated deposit or full purchase price at the time of order. Presale pricing applies only to qualifying orders placed during the presale window.
- **Estimated ship dates.** Any ship or delivery date shown for a presale or preorder is a good-faith estimate, not a guarantee, and may change as manufacturing progresses.
- **Right to cancel and delay notices.** If we cannot ship by the estimated date, we will notify you and give you the choice to consent to a new estimated date or to cancel for a full refund, consistent with the FTC Mail, Internet, or Telephone Order Merchandise Rule. You may also cancel a presale or preorder for a full refund at any time before it ships, unless the product listing states otherwise.
- **Changes.** Product specifications, colorways, and included accessories may be refined before production; we will not make a material reduction to what you ordered without offering you the option to cancel for a refund.
## 5. Payment
By providing a payment method you represent that you are authorized to use it. Payments are processed by our third-party payment processor; we do not store full payment-card numbers on our own systems. You authorize us (and our processor) to charge your payment method for your order total, including applicable taxes and shipping.
## 6. Shipping, title, and risk of loss
We ship to the addresses and regions indicated at checkout. Shipping times are estimates. Title and risk of loss pass to you upon our delivery to the carrier. You are responsible for providing an accurate shipping address; we are not responsible for orders lost due to an incorrect address you provided.
## 7. Returns, refunds, and warranty
Our returns, refunds, and product warranty terms are described in our published return and warranty policies, which are incorporated into these Terms by reference. Except as required by law or stated in those policies or in Section 4, sales are subject to those terms.
## 8. Text messaging (SMS) terms
If you opt in to our text-message program, you agree to these messaging terms.
- **Program.** By providing your mobile number and opting in, you consent to receive recurring automated marketing and/or transactional text messages from Virro at that number. Consent is not a condition of purchase.
- **Message types and frequency.** Messages may include order and shipping updates, presale and delivery notices, account and support messages, and, if you opt in, promotional offers. Message frequency varies.
- **Rates.** Message and data rates may apply, depending on your carrier and plan.
- **Opt out / help.** Reply **STOP** to cancel at any time; reply **HELP** for help, or email Support@virrolife.com. Carriers are not liable for delayed or undelivered messages.
- **Privacy.** Your mobile information is handled as described in our Privacy Policy. No mobile information (including your phone number and SMS opt-in and consent data) will be shared with third parties or affiliates for marketing or promotional purposes.
## 9. Acceptable use
You agree not to: use the Site for any unlawful purpose; interfere with or disrupt the Site or its security; access it through automated means (bots, scrapers) without our permission; attempt to gain unauthorized access to any systems or accounts; reverse engineer any part of the Site; or use the Site to infringe others' rights or transmit harmful code.
## 10. User content
If you submit reviews, photos, comments, or other content, you grant Virro a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, and distribute that content in connection with our business. You represent that you own or have the rights to the content and that it does not violate any law or third-party right. We may remove content at our discretion.
## 11. Intellectual property
The Site and its content — including the Virro and Virro names, logos, product designs, text, graphics, and software — are owned by or licensed to Eloo LLC and are protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to access and use the Site for personal, non-commercial purposes. All rights not expressly granted are reserved.
## 12. Third-party links and services
The Site may link to or rely on third-party websites and services we do not control. We are not responsible for their content, products, or practices, and your use of them is at your own risk and subject to their terms.
## 13. Disclaimers
THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE. This section does not exclude warranties that cannot be excluded under applicable law, including any written product warranty we provide.
## 14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VIRRO LIFE AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SITE OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
## 15. Indemnification
You agree to indemnify and hold harmless Eloo LLC and its officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Site.
## 16. Governing law and dispute resolution
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules.
**Arbitration and class-action waiver.** Except for small-claims matters and requests for injunctive relief, any dispute arising out of or relating to these Terms or the Site will be resolved by binding individual arbitration administered under the rules of a recognized arbitration provider, seated in Hancock County, Ohio. **You and Virro waive the right to a jury trial and to participate in a class action.** You may opt out of this arbitration agreement by emailing Support@virrolife.com within 30 days of first accepting these Terms; if you opt out, disputes will be resolved in the state or federal courts located in Hancock County, Ohio.
## 17. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, for material changes, provide additional notice as appropriate. Your continued use of the Site after an update means you accept the revised Terms.
